Reseller Terms & Conditions

(Virtualizor Reseller API – VPS / RDP / GPU Services)

1. Eligibility & KYC

  • Reseller services are available to individuals and businesses.

  • If billing is not B2B, completion of KYC is mandatory before or immediately after service activation.

  • Failure to complete KYC may result in suspension or termination of services without prior notice.

  • We reserve the right to request additional verification documents at any time.

2. Scope of Service

  • We provide Virtualizor-based VPS, RDP, and GPU servers via API for resale through third-party platforms such as WHMCS.

  • As a reseller, you are fully responsible for your end users, including their activities, payments, disputes, and compliance.

3. Uptime & SLA

  • We target 99.5% uptime, calculated on a monthly basis.

  • Scheduled or emergency maintenance windows are excluded from downtime calculations.

  • If you believe uptime has fallen below the committed level, you may raise a request within 7 days of the billing cycle end.

  • Verified downtime compensation will be provided as billing credit only, not cash refunds.

  • SLA does not apply to issues caused by:

    • Third-party networks or upstream providers

    • DDoS attacks

    • Misconfiguration or misuse by reseller or end users

4. Billing, Cancellation & Refund Policy

  • Refunds are not a default right and are subject to approval.

  • 100% refund is applicable only if we fail to deliver the service after payment.

  • If an order is cancelled from user end no refund will be provided.

  • No refunds will be provided for reasons such as:

    • RDP/VPS lag, slow performance, or hanging due to user-side issues

    • Software-level misconfiguration

    • Internet issues outside our infrastructure

5. Resource Upgrades & Billing Cycle

  • Any additional resources (RAM, storage, bandwidth, etc.) added mid-cycle will be charged for the full billing cycle.

  • The billing cycle does not reset after upgrades.

  • Example: If a VPS/RDP is purchased on the 1st and upgraded on the 7th, upgrade charges apply for the entire month, and renewal remains on the 1st.

6. GPU Servers

  • GPU servers require 3 to 6 months advance payment.

  • Setup time is up to 7 working days, as GPUs are procured on-demand.

  • Once provisioned, GPU services are non-refundable under any circumstances.

7. Pricing & Policy Changes

  • We reserve the right to change pricing, plans, or terms at any time, with or without prior notice.

  • Due to market volatility, hardware costs (especially ECC RAM) may increase, and pricing may be revised accordingly.

  • Existing services may be affected at the time of renewal.

8. Acceptable Use & Abuse Policy

  • Any illegal activity, including but not limited to:

    • DDoS attacks

    • Port scanning

    • Spam, phishing, malware hosting

    • Copyright infringement
      will result in immediate suspension of the server.

  • If we receive any abuse complaint or IP notice from upstream providers, the affected service may be suspended instantly.

  • You will be given 48 hours to provide clarification.

  • If no satisfactory response is received within 72 hours, the server may be terminated permanently.

  • We are not liable for any data loss resulting from such actions.

  • Resellers are expected to strictly enforce compliance on their end users.

9. Backups & Data Responsibility

  • We provide daily automated backups as a best-effort, complimentary service.

  • Backups may occasionally be corrupted, incomplete, or non-restorable.

  • We do not guarantee backup availability or integrity.

  • You and your customers are solely responsible for maintaining external backups.

  • We are not liable for data loss, regardless of backup status.

10. Limitation of Liability

  • Our liability is limited strictly to the amount paid for the affected service.

  • We are not responsible for:

    • Business loss

    • Revenue loss

    • Reputation damage

    • Indirect or consequential damages

11. Termination

  • We reserve the right to suspend or terminate any reseller account or service without notice if:

    • Terms are violated

    • Abuse complaints are frequent

    • Payment defaults occur

    • Business risk is detected

12. Agreement Acceptance

  • By using our reseller API and services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

  • Continued usage implies ongoing acceptance of updated terms.
